These Terms of Service are a legally binding agreement between you and ZenQuit LLC. By accessing or using our website and Services, you agree to these Terms. They grant you a limited license to use our content and make clear that all ZenQuit content remains our intellectual property. Applies to: www.zenquit.com, our courses, talks, guided practices, webinars, forums, handouts, emails, social channels, forums, aps and chatbots and related services (collectively, the “Services”).

1) Educational & Medical Disclaimer
ZenQuit provides educational, mindfulness-based resources to support nicotine cessation and well-being. We are not a medical or healthcare provider. The Services do not constitute medical advice, diagnosis, treatment, psychotherapy, or a clinician-patient relationship. Always consult a qualified healthcare professional before changing any health, medication, or cessation plan. If you are experiencing an emergency, call 911.
2) Eligibility
You must be 18+ to use the Services. By using the Services, you represent you have the legal capacity to enter these terms.

3) License & Acceptable Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use. You agree not to:

copy, sell, sublicense, distribute, publicly display, or create derivative works from our content without written permission;

reverse engineer or attempt to bypass security;

use the Services to post unlawful, infringing, harmful, harassing, defamatory, obscene, or hateful content;

upload malware, scrape, mine, or spam;

interfere with others’ use, or attempt unauthorized access.
We may modify, suspend, or discontinue any part of the Services at any time.
4) Community, Social & User Content
“User Content” includes anything you post/submit (comments, text, images, audio/video, forum posts, testimonials). You remain the owner of your User Content, but you grant ZenQuit a non-exclusive, worldwide, royalty-free license to host, reproduce, adapt, display, and share your User Content solely to operate, improve, and promote the Services (including recordings/transcripts of live sessions, if applicable).
You are responsible for your User Content and for ensuring you have all rights needed. We may remove content or suspend accounts at our discretion.

5) Intellectual Property
All ZenQuit content (courses, talks, handouts, videos, audio resources, text, graphics, trademarks, including ZenQuit®) is owned by ZenQuit or its licensors and protected by IP laws. No rights are granted except as expressly stated.

6) Purchases, Access, Refunds & Live Sessions

Orders: Are accepted upon successful payment. We will email confirmation and access details.

Refunds: Follow the refund terms displayed at point of sale for each product/program (if none are shown, purchases are non-refundable).

Live sessions: Dates/times are set by ZenQuit. Missed attendance does not entitle you to a refund or reschedule; reasonable notice is provided if ZenQuit reschedules.

Access: We may provide downloads or time-limited access; please keep your login secure.
7) Third-Party Links & Tools
Our Services may link to third-party sites, apps, or tools. We don’t control or endorse third-party content and are not responsible for their practices or policies. Your use is at your own risk.
8) Feedback
If you send suggestions or testimonials, you grant ZenQuit the right to use them (with first name and last initial unless you request anonymity) for marketing and product improvement, without compensation.
9) Disclaimers; No Guarantees
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. We do not guarantee results; individual outcomes vary.

10) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ZENQUIT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS/REVENUE/GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID TO ZENQUIT IN THE 12 MONTHS PRECEDING THE CLAIM.
11) Indemnification
You agree to indemnify and hold ZenQuit (and our owners, officers, employees, and contractors) harmless from claims, losses, liabilities, costs, and fees (including reasonable attorneys’ fees) arising from your User Content, your breach of these Terms, or your unlawful use of the Services.​

12) Governing Law & Where Disputes Are Handled
These Terms are governed by the laws of the State of Texas, USA. If any legal action is needed, it must be brought in a Texas state or federal court, and you agree to that jurisdiction.
13) Resolving Disputes
We hope issues never come up, but if they do, here’s how we’ll handle them:

Talk to Us First. Before starting a claim, you agree to email us at info@zenquit.com and give us 30 days to try to resolve things informally.

Arbitration Instead of Court. If we can’t resolve it, you agree that any legal dispute will be handled by binding arbitration (a private process instead of a court trial) under the American Arbitration Association’s Consumer Rules. This can usually be done online or, if needed, in person in Texas.

No Group Lawsuits. You agree to bring claims only on your own behalf — not as part of a class action or group lawsuit.

No Jury Trials. If a dispute ends up in court instead of arbitration, both you and ZenQuit waive the right to a jury trial (a judge will decide the case).

Opt-Out Option. If you don’t want arbitration, you can opt out by emailing info@zenquit.com within 30 days of accepting these Terms. If you opt out, disputes will go to Texas courts.

Legal Details. This section is governed by the Federal Arbitration Act (FAA). If a court finds the class-action waiver unenforceable, then this entire arbitration section is void and disputes will be handled in Texas courts. If only a smaller part is invalid, the rest still applies.

14) Content & Participation
ZenQuit provides educational resources that may include meditations, mindfulness exercises, live coaching sessions, community forums, and written/audio/video content (collectively, “Content”). By choosing to participate, you agree to the following:

Safe Practice. Only engage in ZenQuit practices in a safe environment where you can sit or lie down without risk of injury. Do not participate while driving, operating machinery, or in any unsafe conditions.

Respect Your Limits. Practices may bring up strong physical, emotional, or psychological responses. You are responsible for pacing yourself, using your judgment, and stopping at any time if you feel overwhelmed or unwell.

Not a Substitute for Care. ZenQuit Content is for educational purposes only and is not a substitute for medical, psychiatric, or therapeutic care. If you have a medical or mental health condition, consult a qualified provider before participating.

Live Sessions. Dates, times, and topics of live group sessions are determined by ZenQuit. By participating, you acknowledge that sessions may be recorded for educational or community use. You are responsible for your own participation, and ZenQuit is not liable if you miss or cannot attend a scheduled session.

Community Participation. If you engage in forums, live sessions, chats, or social media spaces, you agree to treat others respectfully and not post harmful, unsafe, or offensive content. ZenQuit may remove or restrict User Content that violates these Terms or community standards, and may suspend or terminate access at its discretion.

User Comments & Posts. By submitting comments, testimonials, or other content on ZenQuit forums, social media channels, or live sessions, you acknowledge that such content is not confidential. You grant ZenQuit a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and share your content for purposes of operating and promoting the Services. You are solely responsible for the content you post and for ensuring it does not violate any laws, rights, or community standards. ZenQuit is not responsible for how other users may view, share, or use your publicly available content.

Assumption of Risk. By participating in ZenQuit practices, live sessions, and using the Content, you acknowledge and accept the risks inherent in body-based and mindfulness practices, and you release ZenQuit from liability for injuries, accidents, or adverse experiences that occur if you practice in unsafe environments, disregard your limits, or misuse the Content.

15) Refunds & Cancellations
Payments for ZenQuit programs, courses, or digital resources are final unless otherwise specified at the point of purchase. Because our products often include immediate access to digital downloads, live sessions, or protected community content, refunds are generally not available once access has been granted.
If a specific program includes a refund or cancellation policy, it will be clearly stated on the purchase page. That program-specific policy will apply.

16) No Guarantees or Promises of Results
ZenQuit provides educational and mindfulness-based tools intended to support nicotine cessation and overall well-being. However:

We do not guarantee or promise that you will quit nicotine, achieve any specific health outcome, or experience the same results as others.

Individual experiences vary widely, and success depends on your own effort, circumstances, and personal health.

Testimonials and examples on our website or in our materials are individual experiences only and should not be taken as typical or guaranteed results.
By using ZenQuit, you acknowledge that you are solely responsible for your outcomes and release ZenQuit from liability for unmet expectations.

17) FDA Disclaimer
Statements made by ZenQuit, including educational materials, coaching, meditations, or related content, have not been evaluated by the Food and Drug Administration (FDA). Our Services are not intended to diagnose, treat, cure, or prevent any disease.
18) Changes to the Services or Terms
We may update the Services and these Terms from time to time. The “Effective date” shows the latest change. Continued use after updates constitutes acceptance.
CHANGES TO THIS PRIVACY POLICY
ZenQuit has the discretion to update this Privacy Policy at any time. When we do, we will revise the updated date at the bottom of this page. We encourage individuals to frequently check this page for any changes to stay informed about how we are helping to protect the personal information we collect. You acknowledge and agree that it is your responsibility to review this Privacy Policy periodically and become aware of modifications.
YOUR ACCEPTANCE OF THESE TERMS
By using this website, you signify your acceptance of this Policy. If you do not agree to this Policy, please do not use our website. Your continued use of the website following the posting of changes to this Policy will be deemed your acceptance of those changes.
